These Terms of Service (“Terms”) govern your use of ClipMaster's websites, applications, APIs, video-processing tools, digital products, and related services (collectively, the “Service”). ClipMaster and ClipMasterApp are product and trade names of ALL CLEAR DIGITAL, a Delaware legal entity. “ALL CLEAR DIGITAL,” “ClipMaster,” “we,” and “us” refer to ALL CLEAR DIGITAL as the operator of the Service.
1. Acceptance and eligibility
By accessing or using the Service, purchasing a product, or creating an account, you agree to these Terms and our Privacy Policy. You must be at least 18 years old and able to form a binding contract. If you use the Service for a company or client, you represent that you have authority to bind that organization, and “you” includes it.
2. The Service and AI-assisted output
ClipMaster helps users upload or import media, transcribe it, identify and score candidate clips, generate or edit captions and other assets, and render exports. Some features rely on artificial intelligence and third-party infrastructure. AI output may be inaccurate, incomplete, non-unique, or unsuitable for your intended use. You are responsible for reviewing every output—including timing, captions, claims, rights, and final cut—before publishing or relying on it. We do not guarantee views, engagement, rankings, indexing, AI citations, revenue, or any other business result.
3. Accounts and security
You must provide accurate account information and keep your credentials and API keys confidential. You are responsible for activity under your account and must promptly notify us of suspected unauthorized access. You may not sell, transfer, or share an account in a way that defeats plan limits or security controls.
4. Subscriptions, credits, fees, and cancellation
Prices, plan limits, included credits, and billing intervals are shown at checkout. If you purchase a subscription, you authorize recurring charges at the disclosed price and interval until you cancel. You may cancel through your account settings or by contacting us; cancellation stops future renewals and takes effect at the end of the current paid period unless applicable law requires otherwise. We will disclose material price changes before they apply to a renewal.
Credits are usage units, not money, and have no cash value. Monthly plan credits reset at the start of each billing cycle and do not roll over. Purchased credit packs do not expire while your account remains active, except where the checkout terms state otherwise. Taxes and third-party payment fees may apply. Refund eligibility is governed by the policy shown at checkout, the applicable marketplace's rules, and applicable law. Chargebacks or failed payments may result in suspension.
5. Your content and permissions
As between you and ClipMaster, you retain your rights in media, prompts, brand assets, and other materials you submit (“Your Content”). You grant us a limited, worldwide, non-exclusive license to host, copy, process, modify, transmit, and display Your Content only as needed to operate, secure, and improve the Service and fulfill your requests. This license ends when the relevant content is deleted from our systems, subject to reasonable backup, legal, fraud-prevention, and security retention.
You represent that you have all rights and permissions needed to submit and process Your Content, including any music, footage, likenesses, voices, trademarks, and personal data. ClipMaster does not grant you rights to source material owned by someone else. You are responsible for obtaining releases and complying with platform rules, publicity rights, privacy law, and copyright law.
6. Output ownership
Subject to your compliance with these Terms, as between you and ClipMaster, you may use the outputs generated specifically for you for lawful purposes. This does not transfer rights in third-party material, ClipMaster technology, templates licensed separately, or elements that are not legally protectable. Because AI systems may create similar output for different users, we do not promise that an output is unique or non-infringing.
7. Digital products and licenses
Guides, playbooks, templates, downloads, and educational materials are licensed—not sold—to the original purchaser for personal or internal business use. Unless a product expressly says otherwise, you may apply its methods and adapt its worksheets or prompts for your own business or client services, but you may not share the product itself, remove its notices, publish it, sublicense it, resell it, or repackage it as a competing product. Educational content is informational and is not legal, financial, or professional advice.
8. Acceptable use
You may not use the Service to:
- violate law, another person's rights, or a platform's terms;
- process content you lack permission to use or bypass access, copyright, or security controls;
- create deceptive impersonations, non-consensual intimate media, unlawful surveillance, harassment, or fraud;
- exploit or endanger minors, promote violence, or distribute illegal content;
- upload malware, disrupt the Service, probe vulnerabilities, or evade usage and rate limits;
- reverse engineer the Service except where that restriction is prohibited by law; or
- scrape or automate access except through an authorized API and in accordance with its limits.
9. Affiliates, endorsements, and promotions
Affiliates must clearly and conspicuously disclose their paid relationship with ClipMaster near each endorsement or affiliate link, make only truthful claims they can substantiate, and comply with applicable advertising law and platform rules. Affiliates may not promise earnings, traffic, rankings, or guaranteed results; bid on ClipMaster trademarks without permission; use spam, misleading domains, cookie stuffing, or self-referrals; or impersonate ClipMaster. Commissions may be withheld or reversed for refunds, chargebacks, fraud, policy violations, or transactions that do not qualify under the applicable program or marketplace rules.
10. Third-party services
The Service may connect to third-party providers, platforms, models, storage, payment processors, or websites. Their terms and privacy practices govern your use of their services. We are not responsible for third-party content, availability, policy changes, or acts and omissions.
11. ClipMaster intellectual property and feedback
The Service, including its software, design, branding, documentation, and original content, is owned by ALL CLEAR DIGITAL or its licensors and protected by intellectual-property laws. Except for the limited rights expressly granted here, no rights are transferred to you. If you send feedback, you grant us a perpetual, worldwide, royalty-free right to use it without restriction or payment.
12. Copyright complaints
If you believe content available through the Service infringes your copyright, email us a notice identifying the copyrighted work, the allegedly infringing material and its location, your contact information, a good-faith statement that the use is unauthorized, a statement under penalty of perjury that your notice is accurate and you are authorized to act, and your physical or electronic signature. We may remove content and terminate repeat infringers where appropriate.
13. Availability, storage, and changes
Features may be changed, limited, or discontinued, and the Service may experience downtime or processing delays. You are responsible for keeping copies of important source files and exports; the Service is not a backup service. Beta or preview features may be less reliable and may change without notice. We do not promise that any particular integration or format will remain available.
14. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access when reasonably necessary to protect users or the Service, respond to legal requirements, address nonpayment, or enforce these Terms. Where practicable, we will provide notice and an opportunity to cure. Sections that by their nature should survive termination—including payment obligations, licenses already granted, intellectual property, disclaimers, indemnity, and liability limits—will survive.
15. Disclaimers
To the fullest extent permitted by law, the Service and all outputs and digital products are provided “as is” and “as available.” ClipMaster disclaims all express or implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted, error-free, secure, or loss-free operation. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
16. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold ALL CLEAR DIGITAL and its personnel harmless from third-party claims, damages, and reasonable costs arising from Your Content, your use of the Service, your violation of these Terms, or your infringement of another person's rights. This obligation does not apply to the extent a claim results from ALL CLEAR DIGITAL's own unlawful conduct.
17. Limitation of liability
To the fullest extent permitted by law, ALL CLEAR DIGITAL will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption. ALL CLEAR DIGITAL's total liability for all claims arising from the Service will not exceed the greater of $100 or the amount you paid ALL CLEAR DIGITAL during the three months before the event giving rise to the claim. These limits do not apply where prohibited by law or to liability that cannot legally be limited.
18. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Subject to any consumer rights that require a different forum, claims must be brought in the state or federal courts located in Delaware, and each party consents to their jurisdiction. Before filing a claim, you and ALL CLEAR DIGITAL agree to make a good-faith effort for 30 days to resolve the dispute informally by written notice.
19. Changes to these Terms
We may update these Terms. If a change materially affects your rights, we will provide reasonable notice through the Service, by email, or by updating the date above. Changes apply prospectively. Continued use after the effective date means you accept the revised Terms.
20. General terms
These Terms and any product- or plan-specific terms shown at checkout form the entire agreement about the Service. If there is a conflict, the more specific checkout term controls for that purchase. If a provision is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, reorganization, or sale of assets.
